Terms & Conditions

These key terms govern all Quotations, Orders and Contracts for the supply of Products by Sightique Optic Supplies UK Limited (“Sightique”) to the Customer, to the exclusion of any terms the Customer seeks to apply. Read together with the Credit Application, the Suretyship Policy and the Credit Returns Policy.

Key Terms of Sale:

1. Orders — A binding Contract arises once Sightique accepts the Customer’s Order (expressly or by beginning to fulfil it). Quotations are valid for 30 days.

2. Delivery — Delivery dates are estimates only and not of the essence; Sightique is not liable for delay. Risk passes to the Customer on delivery, or on handover to a carrier acting as the Customer’s agent.

3. Claims — Claims for short, damaged, or non-delivered goods must be lodged in writing within 21 days of receipt; goods are deemed accepted after that period.

4. Retention of Title — Title to Products does not pass until Sightique has received payment in full and in cleared funds. Until then, the Customer holds the Products as bailee, must store them separately and identifiably, and must not resell them other than in the ordinary course of business with an equivalent retention-of-title term.

5. Payment — Payment is due within 30 days of invoice date, exclusive of VAT, without deduction or set-off. Late payment carries interest at 3% per annum above the Bank of England base rate, and may lead to suspension of deliveries or recovery of unpaid Products.

6. Warranty — Products are covered by the Warranty Policy; all other conditions implied by statute or common law are excluded to the extent permitted by law, save for Consumers’ statutory rights.

7. Liability — Sightique’s total liability for any claim is limited to the price paid for the relevant Order; indirect and consequential losses are excluded for non-Consumer Customers. Nothing limits liability for death, personal injury, or fraud.

8. Force Majeure — Neither party is liable for delay or failure to perform caused by events beyond its reasonable control. Either party may terminate an affected Order if such an event continues for more than 30 days.

9. Default and Insolvency — Sightique may terminate or suspend the Contract, cancel Orders, or place the Customer on stop-supply status if the Customer breaches these terms, becomes insolvent, or is subject to an analogous event. All sums owing become immediately due on termination.

10. Notices — Notices must be in writing, sent by hand, post, or email to the addresses recorded on the Credit Application, and are deemed received per the timings set out in the full Terms and Conditions published on our website.

11. Governing Law and Jurisdiction — This Agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, without prejudice to Sightique’s right to pursue proceedings in any other competent jurisdiction.

12. Costs — Where Sightique brings proceedings to recover amounts owed, the Customer is liable for Sightique’s reasonable legal costs, collection charges, and tracing fees.

13. Entire Agreement — This Agreement, the Credit Application, and Annexures 1–5 constitute the entire agreement between the parties, superseding all prior discussions and representations.

This is a summary of key terms. The full Terms and Conditions of Sale are published at sightique.co.uk and are incorporated by reference into every Contract.
