Suretyship Policy

Applicable to the United Kingdom Markets Only

Read in conjunction with the Terms and Conditions of Sale. Where an individual signs the Credit Application as a Guarantor, they bind themselves to Sightique Optic Supplies UK Limited (“Sightique”) on the following terms. This Suretyship Policy forms an integral part of the Credit Application and the Terms and Conditions of Sale.

Key Terms of Suretyship

1. Suretyship & Co-Principal Debt — Each Guarantor binds themselves jointly and severally as surety and co-principal debtor with the Customer for the due payment of all sums and performance of all obligations owed to Sightique.

2. Continuing Security — This is a continuing security for all present and future indebtedness. It remains in force notwithstanding any fluctuation in the amount owing, and cannot be revoked until all obligations have been fully discharged or Sightique agrees in writing to release the Guarantor.

3. Indulgences to the Customer — Sightique may, without notice to or consent from the Guarantors, take steps against the Customer, release securities or other guarantors, grant extensions, or compound arrangements, without releasing any Guarantor from liability.

4. Insolvency of the Customer — On the insolvency, administration, or liquidation of the Customer, Sightique may accept any dividend or compromise without prejudice to its rights against the Guarantors.

5. Admissions Bind the Guarantors — Acknowledgements of indebtedness and admissions made by the Customer to Sightique are binding on the Guarantors.

6. Certificate of Indebtedness — A written statement signed by a director or manager of Sightique as to the amount owing by the Customer (or a Guarantor), and that it is due and payable, is prima facie evidence of that amount.

7. Waiver of Defences — Each Guarantor waives any right to require Sightique to first proceed against the Customer, or against any security or other guarantor, or to exhaust any other remedy, before enforcing this suretyship directly against the Guarantor.

8. Jurisdiction & Legal Costs — This Suretyship is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute. Guarantors undertake to pay Sightique’s legal costs on an indemnity basis, including tracing and collection charges, incurred in enforcing this suretyship.

9. Notices — Notices to a Guarantor are validly given at the residential address recorded on the Credit Application, in accordance with the Notices provisions of the Terms and Conditions of Sale.

10. Cession — Sightique may, at any time and without a Guarantor’s consent, cede, assign, or transfer its rights under this suretyship.

11. Variation — No variation, amendment, or waiver of this suretyship is valid unless in writing and signed by Sightique.

12. Voluntary & Solvent — Each Guarantor confirms that this suretyship is entered into voluntarily and not under duress or undue influence, and warrants that they are not over-indebted and are financially able to meet the obligations if called upon.
